Terms of Service

These Terms of Service (“Terms”) govern your use of the Promolexa app (“the Service”) provided through the Shopify App Store. By installing or using the Service, you agree to be bound by these Terms.
If you do not agree, do not install the Service.
1. Service Description
Promolexa is a Shopify app that uses generative AI to produce marketing content (product launch emails, social posts, product description variants, hero images), compute monthly Health Scores on your store, monitor competitor websites for changes, and (optionally) publish content to your connected social platforms (Facebook, Instagram, X, LinkedIn). The set of features and supported platforms may evolve.
2. Eligibility
You must be an authorized user of the Shopify store on which you install the Service. By installing, you represent that you have the authority to bind that store to these Terms.
3. Subscription, Billing, and Refunds
- Pricing: $29 USD per month, billed monthly via the Shopify Billing API.
- Free trial: 7-day free trial from install date. You may uninstall during the trial at no charge.
- Billing cycle: charges recur every 30 days after the trial ends, billed through Shopify Payments (or your equivalent Shopify-supported payment method).
- Refunds: processed per Shopify’s refund policy. For prorated refunds within a billing cycle, contact support@promolexa.com.
- Plan changes: we may adjust pricing with at least 30 days’ notice via in-app banner or email; existing subscribers’ next billing cycle reflects the new price.
4. License
Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use the Service for the operation of your Shopify store.
5. Acceptable Use
You agree not to:
- Use the Service to generate or distribute spam, deceptive, harassing, defamatory, or illegal content.
- Use the Service to send marketing email to recipients without their prior consent where required by applicable law (CAN-SPAM, GDPR, CASL, etc.).
- Use the Service to post content infringing third-party intellectual property.
- Use the Service to make false or disparaging claims about identified competitors. Competitor monitoring is provided for defensive marketing intelligence — the AI-generated counter-campaigns deliberately do not name competitors verbatim, and you must continue this pattern in any modifications you publish.
- Attempt to reverse-engineer, scrape, or otherwise extract the Service’s underlying models, prompts, or proprietary content.
- Use the Service in violation of Shopify’s Acceptable Use Policy, your social platforms’ terms (Meta Platform Terms, X Developer Agreement, LinkedIn Platform Guidelines), or any applicable law.
We reserve the right to suspend or terminate your access if we reasonably believe you have violated this section.
6. AI-Generated Content Disclaimer
All marketing copy, social posts, product descriptions, Health Score recommendations, and competitor analyses produced by the Service are AI-generated using third-party large language models (currently Llama 3.3 70B via Groq) and image generation models (Flux Schnell via Replicate).
You are solely responsible for reviewing AI-generated content before publishing it. AI models can produce inaccurate, biased, or contextually inappropriate output (“hallucinations”). The Service does not validate factual claims, and we do not warrant that AI-generated content is accurate, suitable for your audience, or compliant with applicable laws or platform policies.
Promolexa provides the “Apply to product” and “Send now” buttons as merchant-initiated actions; you affirm that you have reviewed the content each time you take such an action.
7. Social Platform Connections
When you connect a social platform via OAuth on the Connections page, you authorize Promolexa to post content to your designated account on that platform on your behalf, exclusively in response to your in-app actions (clicking a “Post to …” button). We do not auto-post without your action.
You may disconnect any platform at any time on the Connections page, which revokes Promolexa’s access immediately and deletes the corresponding OAuth tokens from our database.
We are not affiliated with Meta, X, or LinkedIn. Use of those platforms via Promolexa remains subject to their terms.
8. Your Data
Your use of the Service is also governed by our Privacy Policy, which explains what we collect, how we use it, who we share it with, and your rights.
9. Intellectual Property
- Your content: you retain all rights to the content you input (product data, recipient lists, competitor URLs) and to the AI-generated content the Service produces for your store. We do not claim ownership.
- Our IP: the Service, including its design, code, prompts, UI, and aggregated non-personal metrics, remains our property. You receive only the license granted in Section 4.
- Feedback: if you send us suggestions or feedback, we may use them freely without obligation.
10. Termination
- By you: uninstall the app from your Shopify admin at any time. Your subscription ends at the conclusion of the current billing cycle.
- By us: we may terminate or suspend access immediately for material breach of these Terms, fraudulent activity, or abuse. We will attempt to notify you via email when reasonable.
- On termination: Section 6 (data deletion) of our Privacy Policy applies — all your data is removed within 48 hours of uninstall via Shopify’s
shop/redactwebhook.
11. Warranties and Disclaimers
The Service is provided “as-is” and “as-available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.
We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or suitable for your use case.
12. Limitation of Liability
To the maximum extent permitted by law, in no event shall Promolexa, its operators, employees, or sub-processors be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with the Service.
Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify and hold harmless Promolexa and its operators from any claims, damages, or expenses (including reasonable attorney fees) arising from:
- Your use of the Service in violation of these Terms or applicable law.
- Content you publish using the Service that infringes a third party’s rights or violates platform policies.
- Your failure to obtain consent from recipients before sending marketing email.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of these Terms shall be resolved in the courts of New Delhi, India, except where applicable consumer protection law grants you a non-waivable right to seek resolution in your local jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via in-app banner or email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
